Terms that back one-button releases

These Terms of Service (“Terms”) form a contract between Hummingbird App Inc. (“Hummingbird”, “we”), and each customer or visitor (“you”). They outline how you may use our products, what we promise in return, and how disputes are handled. By accessing the marketing site, creating an account, or using the Run Hum platform, you agree to these Terms.

Accounts & acceptable use

  • Eligibility. You must be at least 18, provide accurate registration details, and keep credentials confidential. Workspace owners are responsible for activity under their accounts.
  • Permitted use. Use the service to capture and review your own products only. Do not interfere with the platform, attempt unauthorized access, disable safeguards, or upload unlawful, infringing, or harmful content. We may suspend access for violations.
  • Customer content. You retain ownership of hum artifacts, visuals, and narratives generated from your runs. You grant Hummingbird a licence to host, process, and transmit that content solely to provide the services.
  • Restricted data. Do not submit personal health information, payment card data, or other regulated data unless we agree in writing. You must ensure you have all rights and consents required to upload content and will indemnify us for claims arising from unauthorized data.

Usage limits & fair use

We may monitor overall usage to protect the service. If automated calls, scraping, or unusual run volumes degrade performance or break these Terms, we may throttle requests, impose rate limits, or suspend access after giving notice when feasible.

Plans, fees, and beta features

  • Billing. Paid plans are invoiced according to the published pricing or a signed order. Fees are non-refundable unless required by law. By submitting a payment method, you authorize us (and our payment processor) to charge all due amounts for subscriptions, overages, or metered hum usage. Charges are legally binding once they post to the payment method unless we are required to reverse them by applicable law.
  • Usage metering. Hums are billed per route × device × publish event. We may update pricing with at least 30 days’ notice. Downgrading plans may limit functionality or reduce retention periods.
  • Taxes. Fees are exclusive of applicable sales, use, GST/HST, VAT, or similar taxes. You are responsible for paying those taxes unless you provide a valid exemption certificate.
  • Pre-release features. Beta or preview features are provided “as is”, may be withdrawn at any time, and are excluded from service level commitments.

Intellectual property & feedback

  • Our IP. The service, trademarks, and underlying technology are proprietary to Hummingbird and our licensors. You may not copy, modify, or create derivative works except as allowed by these Terms.
  • Feedback. Suggestions you provide may be used to improve the product without obligation or attribution, though we welcome credit suggestions.
  • Third-party services. Integrations (e.g., Slack, Webflow) are subject to their own terms. You are responsible for reviewing those agreements.
  • Generated artifacts. You own the output artifacts produced from your runs. You are responsible for reviewing outputs, ensuring they meet your compliance obligations, and avoiding infringement of third-party rights. We do not guarantee the accuracy or legality of generated content, and you should not rely on it without human review.

Data protection commitments

We act as a service provider/processor for workspace data and maintain appropriate administrative, technical, and physical safeguards. Review our Privacy Notice for details on collection, retention, and international transfers. A Data Processing Addendum (including SCCs/UK IDTA) is available for Pro and Enterprise customers on request.

Service levels & support

We aim to meet the operational guardrails surfaced in the product. These SLOs describe targets, not contractual SLAs, unless expressly agreed in an order form. Standard support is available via email on North American business days; enhanced SLAs are available on Enterprise plans.

Disclaimers & liability

  • Warranty disclaimer. Except as expressly stated, the services are provided “as is” without warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • Limitation of liability. To the fullest extent permitted by law, our total liability for all claims in a 12-month period is capped at the fees you paid to Hummingbird during that time. We are not liable for indirect, consequential, or punitive damages.
  • Indemnity. You agree to indemnify Hummingbird for third-party claims arising from your unlawful use of the service or breach of these Terms.

Term, termination & changes

  • Term. These Terms remain in effect while you access the service. Either party may terminate for convenience by closing the workspace; termination does not relieve you of unpaid fees.
  • Suspension. We may suspend or terminate access immediately for material breaches, security risks, or legal compliance. We will provide notice when feasible.
  • Updates. We may update these Terms to reflect changes in the service or law. We will post updates here and, for material changes, notify workspace owners at least 30 days in advance. Continued use after the effective date constitutes acceptance.

Governing law & contact

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflicts of law. The parties submit to the exclusive jurisdiction of the courts located in Vancouver, British Columbia for any dispute not subject to arbitration. If you are located in a country with mandatory consumer protections, those protections still apply.

For customers located in the United States, these Terms supplement any non-waivable rights granted under applicable U.S. state or federal law. Where a state privacy or consumer statute grants you additional protections, you may enforce those rights directly and we will honour them.
